Arbitration at DIAC for Business Payment Recovery Disputes in India

Businesses may provide services on time. Complete an assignment or give professional service. But they might not be able to get paid. Whether its payroll for your employees or your suppliers or even business growth and day to day expenses. If you're unable to come to a conclusion then Arbitration at DIAC can help you in Business Payment Recovery for commercial disputes.

Lets say a company supplies product to a business worth 45 Lakhs from Delhi. They were supposed to pay you in 30 days. However they raise claims of poor quality product. Time goes by emails are exchanged and now you are losing money. Both businesses will have different points of view. Sending out a payment reminder wont cut it here.

There are many instances where disputes arise between businesses. From construction to manufacturing. IT firms, Consulting Firms, Transport and Distribution or any B2B transaction.

DIAC handles Arbitration under its own set of institutional rules. Not all commercial disputes have to be litigated in a Civil Court. Businesses can refer to Arbitration if there is an Arbitration clause or any other reason to do so.

This does not mean that you will always recover your money. The Arbitrator will look at your agreement, documents, amount owed, defences and laws that apply.

LEGALS365 can help you understand what steps you can take when dealing with a commercial payment dispute.

To know if your case qualifies for DIAC arbitration we will need to review your Agreement, Nature of Amount, Jurisdiction and Limitation period. Costs involved in Arbitration as well.

Why Business Payment Recovery Through DIAC Matters ?

Even well established businesses suffer from delayed payments. They might have already deposited taxes. Bought materials, employed staff or availed working capital loan on the promise of getting paid.

Delay by one party can impact many parties in the value chain.

Most contractual disputes are seen between companies from Faridabad to manufacturers, Gurugram to service providers, Noida to IT companies, Ghaziabad to building contractors and New Delhi to traders.

Many commercial businesses also face similar issues in cities like Mumbai, Pune, Bengaluru, Hyderabad, Chennai, Kolkata, Ahmedabad, Jaipur, Chandigarh, Lucknow etc.

If there is a dispute between a company in Delhi and one in Mumbai then questions regarding the seat of arbitration, place of hearing, jurisdiction as per the contract and execution of the award will arise.

DIAC Arbitration can provide institutional support and procedure to recover your dues.

But one should not rely on the fact that they have an arbitration clause and money will reach them soon.

The opposite party can challenge the dues, accuse you of not providing services as promised, ask for deductions as per agreement and even file counter claims.

Businesses often keep talking informally about the issue and fail to document things or check for limitation.

You can contact LEGALS365 for a quick consultation to know if your agreement provides for arbitration and what you need to be aware of.

What Is Arbitration at DIAC for Business Payment Recovery Disputes?

DIAC Arbitration allows certain business entities who have contractual issues to bring their disputes to a panel of arbitrators. Once the arbitrators hear all facts they can render an arbitral award that can be enforced under indian laws.

As stated above you will receive a judgment on your dispute unlike negotiating with a party.

Say you develop software for someone and ask for 18 lakhs for your work. The person might argue that your software does not meet there requirements as per the contract.

You may have to show your arbitrator multiple documents like when each milestone was approved. Your service agreement, payment schedule and other technical information to prove your point.

Which Commercial Disputes May Be Suitable?

There are many business scenarios where Arbitration can apply.

Such as:

  • Invoices outstanding from supply of goods under commercial agreements.
  • Contractors not being paid on time and certified invoice disputes.
  • Consulting and Professional Fees.
  • Distributor Agreements with outstanding commission.
  • Technology Services where payments have been disputed.
  • Joint Venture and Business Collaborations with outstanding payments.
  • Disputes where contract has been terminated and funds are being held back.
  • Payment claims under Commercial Lease or License if allowed.

Some disputes cannot be arbitrated on. Some need to go through Statutory bodies or Courts. There are also certain claims that can fall under a specific act.

LEGALS365 can help advise your business on if the dispute at hand can be covered under an Arbitration clause and if you need to look at any other Statutory remedies.

What Legal Framework Governs DIAC Arbitration in India?

Domestic arbitration and International commercial arbitration taking place in India will be governed by the Arbitration and Conciliation Act, 1996.

DIAC has its own institutional rules which supplement the act. Where the law is mandatory, those rules will apply.

Arbitration Agreement (Sec 7)

As per Section 7 if a valid arbitration agreement exists it will be recognised.

Most contracts will have an arbitration clause in them whether it's a sale agreement, consulting agreement, building agreement, shareholders agreement, supplier agreement etc.

It is not enough that your contract mentions something about arbitration. You need to read what it says.

Referral to Arbitration (Sec 8 and Sec 11)

If you bring a claim in front of a judicial authority regarding a dispute that has an arbitration clause, subject to some conditions section 8 will apply.

Section 11 is when you require the court to appoint an arbitrator. This could vary based on the type of arbitration and the laws that may apply.

Commencement (Sec 21)

Unless agreed by both parties section 21 states that the arbitration begins when the request to arbitrate that specific dispute is sent to the other party.

This becomes important when trying to recover money. The communication to send money, requesting money and starting arbitration can all have different effects.

Interim Protection (Sec 9 and 17)

You can ask a court for certain measures under section 9 and the arbitration can grant certain measures under section 17.

This may be used when you want to protect your disputed money or assets in a lawful manner.

There is no obligation for the court to grant interim protection just because there is money owed on an invoice.

Awards / Challenging an Award / Enforcing an Award

Section 31 deals with the award itself. Including rules about interest.

Section 34 can be used to challenge the award in certain situations. This is not an appeal in the conventional sense. You will not be able to go over everything in detail again.

Section 36 allows you to enforce an award if the criteria is met. Unless the court grants a stay.

Limitation also applies to Arbitration under section 43.

LEGALS365 can assist in determining what legal questions exist regarding your contract and how you may be able to recover your money.

How Does the DIAC Arbitration Process Work for Business Payment Recovery?

Commercial payment disputes will usually move from looking at the contract and making a demand to an arbitration process, looking at evidence and an award. This can all happen in many different ways based on the dispute resolution clause. Depending on what the DIAC Rules say or what the Tribunal may order. Also if the Respondent chooses to defend the Claim or bring their own Counterclaim.

Looking At The Contract

The first thing to consider is did the parties agree to arbitrate and allow DIAC to administer.

The contract could specify DIAC or another arbitration body. Or it could just state who to appoint as an Arbitrator.

It is important to know the difference between an Arbitration Institution, Seat of Arbitration and where the hearing is physically held.

Bringing Your Payment Dispute

There may be a Payment Dispute between companies when the money owed under a contract has not been received. Could be a deduction, interest or they believe you have not fulfilled your obligations.

The contract may state to discuss the matter before arbitration. There are many ways a contract could word this. Speak with senior management etc.

Again this will depend on what the contract says and the laws that apply.

Appointing the Tribunal

Whether there is one Arbitrator or more than one will depend on the contract, DIAC rules and any lawful way to make the appointment.

DIAC will have some provisions in place for this and other matters.

Claims And Defending A Claim

Either party can raise issues during the process.

Normally the Claimant will be looking to prove there is a debt owed. Show that they have supplied goods/services, what they are owed and any damages.

The Respondent may argue that the goods were not delivered, poor quality of service. Wrong price charged or did not meet the terms of the contract or that a deduction was made and paid.

Evidence can be many things. POs, Invoices, Goods Received Notes, Emails, bank statements etc.

Award

Once the Arbitration process has looked into the dispute there will most likely be an Award issued.

This can be to pay a sum of money. Interest, costs or any other remedy that may be allowed.

The money may then be paid. Either by agreement or if the Award allows it there may be legal steps taken to enforce.

LEGALS365 can assist you on how this relates to recovering money from your business. It is not always a sure way to recover money from a debtor.

Which Documents Are Important for DIAC Payment Recovery Arbitration?

There can be many instances where good documentary evidence will play a role in a commercial arbitration. There may be a legitimate case that someone owes you money but you are unable to prove how much or defend against claims of poor workmanship.

Documents and Evidence Checklist

Commercial Agreement: Contracts, Work Orders and Amendments. Any arbitration clause if available.

Purchase order: Order acknowledging quantity, price, services & any other terms of business.

Tax Invoice: GST Invoices and related documents showing the amount due.

Delivery Proof: Lorry Receipts, Goods Delivery Note, Work Completion certificate and any acknowledgment of Material received.

Banks Statements: Account ledger, receipts, settlement statement and computation for amount pending.

Correspondence: Mail, Business Messages, Dues reminder and response to such mail.

Proof of Services: Report, Quality Check Reports, Approval Documents & Service Delivery Proof.

Any Settlement Discussion: Payment Proposal and acknowledgement from customer for the same.

Electronic Evidence should be viewed as per the rules of evidence.

If there is an invoice which states that 12 lacs is pending, it does not necessarily mean that that's the amount that your Contract Entitles you to receive. If the Buyer has paid you Advance, Returned any material, Deducted any amount or there is any Reconciliation which is disputed then we have to look at those as well.

Similarly a signed Balance Sheet Confirmation is good but again should be read in light of facts and circumstances.

You can take up your case with us at LEGALS365 and we can help you gather any missing documents or identify any evidence in your favour.

Can DIAC Arbitration Help Recover Unpaid Invoices and Contractual Dues?

DIAC Arbitration can be used to recover outstanding payments and monies owed under contract if there is a dispute which can be arbitrated and properly submitted to DIAC. Provided that you can prove that your counterparty is liable for such payments, rebut any defence based on contract terms, secure an arbitral award and obtain payment or enforcement of said award. However having an award does not necessarily mean that the defaulter will have recoverable funds.

Late Payments to Suppliers

Suppliers may supply materials on credit terms but are unable to collect the full amount.

Common reasons for non-payment include terms of purchase order, rejection of materials supplied, variation in price and alleged late supply of materials.

Arbitral Tribunal may decide whether payment was due and whether the deducting party has the right to deduct such amounts as per the contract.

Payments to Contractors on Projects

Contractors may be prevented from collecting running accounts, variations, retention and payment upon completion of works.

Often these types of disputes require a good level of technical knowledge and understanding of certification of amounts.

Consulting and IT Companies

Firms may find themselves unable to collect payment due to incomplete works, service not met, IP issues and other contractual provisions.

The work that the firm is claiming payment for needs to fall within what they offered to provide.

Distributors and Franchisees

Payment for incentives may not be paid to distributors or there could be discrepancies with the refund of security deposit. On the other hand the company could argue that targets were not met or there was non-compliance with their agreement.

The Arbitrator will look at what the parties contracted for and will not simply rely on a statement provided by one party.

How Long Does DIAC Arbitration Take for Payment Recovery?

It is difficult to put a time period on Commercial Arbitrations.

There are certain timelines mentioned in the Arbitration and Conciliation Act for certain types of Arbitral proceedings. Section 29A lays down some timelines and there is a provision for Fast Track procedure under Section 29B.

Similar provisions are made for Fast Track procedure in DIAC as well.

This would vary depending upon how the Tribunal is constituted, type of Arbitration, no. of parties involved, evidence, application filed during the procedure and if Courts get involved.

If you have a simple case of Invoicing and delivery is accepted then the requirement for evidence may be minimal as compared to a Construction case which may involve defects, several agreements and heavy counter claims.

Companies need to factor out 3 different timelines i.e. getting an Award, if the Award is challenged how long it will take and how long it will take to recover the Award Amount.

Just because you win doesn't mean you'll see money in your account right away.

Speaking to LEGALS365 early in the process may allow Companies to evaluate this risk.

What Are the Costs of Arbitration at DIAC?

Costs associated with DIAC Arbitration will be those incurred through the institution. This will include any fees payable to the Arbitrator in line with their respective schedule of fees.

You may incur further costs if you instruct lawyers or require expert evidence, hearings, application to the courts etc.

This can depend on the quantum involved, number of Arbitrators and what is required of the case.

DIAC have a set of schedules on their website which covers both domestic and international arbitration. Costs deposits may also be payable.

It is always wise for a business to look at the quantum of the dispute and the costs involved before proceeding. Depending on how much money is involved you may want to consider if arbitration is suitable for your case.

If you have an invoice outstanding that is not too high you may find the costs out weigh your commercial needs.

However if you have a large contract dispute then you may feel arbitration is worth the expense.

We here at LEGALS365 can help you understand this but will not lead you to believe that Arbitration is cheaper than litigation.

What Happens If the Opposite Party Refuses to Pay After an Arbitration Award?

In case an arbitral award is left unpaid, it will have to be enforced in a Court of competent jurisdiction under section 36 of Arbitration and Conciliation act, 1996.

One has to look at the award if it is enforceable and whether there is any stay order passed by a court and what procedures are involved.

No stay will be granted to a Respondent just because he has filed a section 34 petition.

Enforcement can be done to certain assets which are known to us through legal means with a Court Order and subject to exemptions.

It all comes down to whether the Respondent has funds available to pay you back or where they might be located and if there is an insolvency process going on etc.

Companies should also note that Arbitration will not supersede the laws around Corporate Insolvency or give them preference over other creditors.

You may win your Arbitration and have an award against a company but be unable to recover those funds.

Therefore LEGALS365 always recommends that you look at the possibility of recovering your money along with the validity of your contract claim.

When Should a Business Consult a DIAC Arbitration Lawyer?

If payment issues have taken on a more serious nature you may want to speak to an arbitration lawyer. This is usually applicable if the buyer has repudiated their obligation, made a counterclaim, contested your performance or will not respond to your queries in any real sense.

It may be wise to seek early opinion if large sums remain unpaid and limitation periods are approaching.

You may want to take legal counsel if:

  • Money is overdue past the credit period.
  • Buyer is contesting an earlier written acknowledgement of debt.
  • Deductions as per contract do not tally with available records.
  • Negotiations keep failing without a definite date of payment.
  • There is a threat of huge counter claims from the Respondent.
  • You are not well versant with the arbitration clause in your contract.
  • Records indicate that money/assets could go missing.
  • Parties reside in different cities within India.

Your attorney will be able to guide you on whether the dispute can be resolved through arbitration. Whether it is advisable to invoke DIAC administration and what contractual terms may affect the case at hand.

This does not always mean taking the matter to court.

Sometimes it may be wiser to settle commercially after evaluating the facts.

Frequently Asked Questions

1. Do I have any chance of recovering my business dues from a party through DIAC?

Provided you have an arbitration agreement or other valid reason which entitles you to approach DIAC. The claimant will need to prove that he/she was owed money under the terms of a contract and prove the amount with supporting documents. LEGALS365 can review your concern regarding contractual recovery.

2. Do I need an arbitration clause to recover dues through DIAC?

Generally yes you need an arbitration clause/agreement to proceed towards arbitration. This can either be stated in your original agreement or come about by any other means legally acceptable. Courts can also refer cases to arbitration.

3. Will I be able to receive interest if I am not paid on time?

Yes if you have an agreement which allows you to receive interest or under the law. Interest is also discussed under Section 31(7) of the Arbitration and Conciliation Act while rendering an award. You will need to look at the agreement as well as the circumstances surrounding the case to know whether you can claim interest.

4. If my client claims that the product they received did not meet their requirements what can I do?

The Tribunal can take into consideration any inspection reports, acknowledgement of deliveries etc. There can be situations where the goods provided were up to standards but the buyer fails to pay. Likewise you cannot say that just because you sent an invoice you have met all requirements of the contract.

5. Can I use DIAC to solve commercial disputes with clients who are located in other states?

Yes there is nothing that prevents you from doing this as long as the laws and agreement allow you to. Location of the parties does not play a huge factor when deciding where you should take your case. It all depends on the arbitration agreement.

6. Are there emergency measures that I can take when a client is not paying me?

There are clauses in DIAC that mention emergency arbitration. This depends on the law applicable to your case and your situation. You should consult an attorney before trying to take any emergency action. Just because a client has not paid you on time does not mean you will get an emergency protection.

7. Is it better to file a commercial recovery suit or arbitration?

It depends. There are certain factors that will decide if arbitration is best for your case. Such as your arbitration agreement, amount you are trying to recover and how complicated the case may be. LEGALS365 can advise you on your options.

8. Can I challenge an arbitral award?

Under section 34 you can make an application to have an award set aside. However this is only applicable in certain circumstances and within the period allowed by law. Your case will not be re-heard as if there was no arbitration.

9. What if the party who owes me does not show up to arbitration?

You can continue your case without them if certain conditions are met under the law. The defendant will have to be served correctly. It does not guarantee that you will win the case.

10. Can my arbitration lawyer negotiate a settlement with the defendant?

As mentioned above you can always settle your case with your defendant. Whether it be before arbitration starts or during. Your settlement can be made through certain processes. LEGALS365 can help you understand if you want to accept a settlement offer.
